1. Terms of Use

Welcome to StudioLens, a service provided by Golden Gate Studios, Inc. By accessing or using our website, mobile applications, and services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with these Terms, you should not access or use the Services. These Terms govern your access to and use of the Services, including any content, functionality, and services offered on or through StudioLens.

Golden Gate Studios, Inc. ("StudioLens," "we," "us," or "our") reserves the right to modify or revise these Terms at any time, and such changes will be effective immediately upon posting to our website. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms regularly.

2. Acceptable Use

You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Services. Prohibited behavior includes harassing or causing distress or inconvenience to any other user, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within our Services.

You are responsible for ensuring that all materials you upload, post, email, or otherwise transmit via the Services are legal, decent, honest, and truthful and comply with all applicable laws, regulations, and industry standards. You agree not to use the Services to:

• Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Impersonate any person or entity, including, but not limited to, a StudioLens official, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Services.
• Upload, post, or transmit any content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).
• Upload, post, or transmit any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights ("Rights") of any party.
• Upload, post, or transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
• Upload, post, or transmit any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.
• Disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other users are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real-time exchanges.
• Interfere with or disrupt the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies, or regulations of networks connected to the Services.
• Intentionally or unintentionally violate any applicable local, state, national, or international law.
• "Stalk" or otherwise harass another user.
• Collect or store personal data about other users.

3. Intellectual Property

All content included on the Services, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of StudioLens or its content suppliers and protected by United States and international copyright laws. The compilation of all content on the Services is the exclusive property of StudioLens and protected by U.S. copyright laws.

The trademarks, service marks, and logos ("Marks") used and displayed on the Services are registered and unregistered Marks of StudioLens. Nothing on the Services should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Mark displayed on the Services, without the written permission of StudioLens. Misuse of any Marks is prohibited, and StudioLens will aggressively enforce its intellectual property rights in such Marks, including via civil and criminal proceedings.

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our designated copyright agent with the following information:

• An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
• A description of the copyrighted work that you claim has been infringed;
• A description of where the material that you claim is infringing is located on the Services;
• Your address, telephone number, and email address;
• A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
• A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

4. Limitation of Liability

The Services are provided on an "as is" and "as available" basis. StudioLens makes no representations or warranties of any kind, express or implied, as to the operation of the Services or the information, content, materials, or products included on the Services. You expressly agree that your use of the Services is at your sole risk.

To the full extent permissible by applicable law, StudioLens disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. StudioLens does not warrant that the Services, its servers, or email sent from StudioLens are free of viruses or other harmful components. StudioLens will not be liable for any damages of any kind arising from the use of the Services, including, but not limited to direct, indirect, incidental, punitive, and consequential damages.

In no event shall StudioLens, its officers, directors, employees, or agents be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if StudioLens has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Services; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information, or services purchased or obtained or messages received or transactions entered into through or from the Services; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the Services; or (v) any other matter relating to the Services.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

5. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree that any legal action or proceeding between you and StudioLens for any purpose concerning these Terms or the Services shall be brought exclusively in a federal or state court of competent jurisdiction sitting in San Francisco, California.
